Taiwanese TCC Group acquires Ivano-Frankivskcement: details of the 750 million euro deal

The deal will allow the Taiwanese investor to gain access to the Ukrainian building materials market and a distribution network in Eastern Europe

The Taiwanese corporation TCC Group Holdings plans to acquire the Ukrainian PrJSC Ivano-Frankivskcement for an amount up to 750 million euros. The deal provides for the transfer of 100% of the shares of the cement plant and three related enterprises to the foreign investor. This was reported by RBC-Ukraine (Марія Волощук), according to the portal PromPolitInform.

The international investor expects to strengthen its own positions in the markets of Eastern Europe and integrate modern low-carbon technologies into the Ukrainian asset. Such modernization is critical due to the implementation by the European Union of the Carbon Border Adjustment Mechanism (CBAM), which has significantly complicated the export of products due to the establishment of default CO2 emission values that are almost double the actual figures of Ukrainian producers.

Features of the Ukrainian market

Despite favorable financial results and a profit of 4.29 billion hryvnias for 2025, domestic cement plants are currently not operating at full capacity. According to the Ukrcement association, total production capabilities reach 13.6 million tons per year, however, capacity utilization is about 60%, which is due to a decrease in domestic consumption to the level of 6.2-6.5 million tons.

To complete the transaction, the parties must obtain permission from the Antimonopoly Committee of Ukraine. Lawyer of the business support practice at Juscutum Roman Berlinets notes that since TCC previously had no assets in Ukraine, there is formally no concentration of two producers. However, given the significant market share exceeding 36%, the regulator may require additional data or impose special obligations on the buyer to ensure competition.

Impact on real estate prices

Experts and market participants agree that the change of ownership will not cause a sharp jump in residential real estate prices. Cement has a limited share in the total cost of construction of apartments, so even in the event of price fluctuations for raw materials, the final cost for consumers will remain stable.

Serhiy Pylypenko, General Director of PSG Kovalska, emphasizes that the appearance of a systemic international player is a positive signal for the industry. This creates conditions for transparent competition and stimulates technological development, which is especially relevant given the projected needs for the reconstruction of the country, which in some years may reach 15-16 million tons of cement.
